REPUBLIC OF TRINIDAD AND TOBAGO
This License Agreement ("Agreement") is made in duplicate this 6th day of May, 2025, by and between:
GREEN MEADOWS LTD, a company incorporated under the laws of Trinidad and Tobago, having its registered office at Lot 16C Eteck Park, Diamond Vale, Diego Martin, Trinidad (hereinafter referred to as the "Licensor"),
AND
SHELDON BAKSH and CHERISE RANSOME, of Old Golden Grove Road, Arouca, Trinidad (hereinafter collectively referred to as the "Licensee").
WHEREAS:
(A) The Licensor licenses the venue located at No. 11B Santa Barbara Boulevard, Saddle Road, Santa Cruz, Trinidad (hereinafter referred to as the "Premises").
(B) The Licensee desires to obtain a license for the use and enjoyment of the Premises.
(C) The Licensor agrees to grant such a license subject to the terms and conditions set forth in this Agreement.
In this Agreement:
"License" means permission granted by the Licensor to the Licensee to use the Premises.
"Licensor" refers to Green Meadows Ltd.
"Licensee" refers to the individual(s) receiving the benefit of the License.
"Premises" means the Green Meadows venue at the above-stated address.
"Event" means weddings, anniversaries, birthday celebrations, graduation events, parties/fêtes, etc.
"Expenses" refer to any monetary costs required for the operation of the Event.
The Licensee is desirous of obtaining a license to host an Event on 14th December 2025, from 8:00 AM to 12:00 MIDNIGHT for 50 guests.
a) The Licensee shall pay the Licensor:
i. A refundable Security Deposit of Three Thousand Trinidad and Tobago Dollars (TTD $3,000.00) upon signing of this Agreement, to cover damages or losses. Any excess damages beyond this amount shall be settled by the Licensee.
ii. A total sum of Twenty Thousand Trinidad and Tobago Dollars (TTD $20,000.00) or its equivalent in USD or GBP, payable in two separate installments of Ten Thousand Trinidad and Tobago Dollars (TTD $10,000.00). The first installment, being non-refundable, shall be paid upon signing this Agreement, and the second installment shall be paid no later than one (1) week prior to the Event date.
iii. If the guest count increases from 0–50 guests to 51–100 guests, a fee of TTD $10,000.00 will apply. Thereafter, for each additional increment of up to fifty (50) guests or part thereof, an additional TTD $5,000.00 shall be payable.
iv. A one-time date change will be permitted if requested in writing with at least two (2) months’ notice prior to the original date. The new date shall be subject to mutual agreement and availability.
i. Obtain all necessary approvals and consents required by relevant authorities for the Event, including music, entertainment licenses, and noise pollution clearances.
ii. Obtain public liability insurance to cover any injury or damage during the Event, including negligence by the Licensee or their agents.
iii. Permit the Licensor to inspect the Premises at any reasonable time prior to or during the Event and to take photographs if deemed necessary.
iv. Provide guests with equipment such as tables, chairs, tents, music, and backup power supply (e.g., generator).
v. Remove all furniture and decorations, and dispose of all garbage on or before 2:00 AM on 15th December 2025. A storage fee of TTD $1,000.00 per hour will be charged for any items left beyond this time. This fee does not apply to items brought by Green Meadows Ltd. or Mr Events Ltd.
vi. Be liable for all expenses relating to the Event, including but not limited to: security personnel, public safety, parking, insurance, cleaning, additional staff, or other essential costs.
vii. Green Meadows Ltd. will provide basic cleaning services and up to three (3) security personnel. The Licensee shall bear the cost of any additional personnel required.
viii. Ensure all guests are informed of safety procedures and that exit routes remain unobstructed throughout the Event.
ix. Refrain from affixing any bills or posters on the Premises.
x. Notify the Licensor of any damages rather than attempting self-repairs.
The Licensee agrees not to disclose or publish the terms of this Agreement without the Licensor’s written consent. Confidentiality shall be maintained both during and after the term of this Agreement.
Neither party shall be liable for failure to perform any obligation under this Agreement due to Force Majeure. Affected parties must notify the other immediately. Force Majeure includes, but is not limited to: acts of God, war, natural disasters, fire, government orders, strikes, supplier delays, or similar unforeseen circumstances beyond reasonable control.
Either party may terminate this Agreement with thirty (30) days’ written notice via letter or email.
The Licensor may terminate this Agreement without notice if:
i. The Licensee fails to make payments as set out in Clause 2.2.
ii. The Licensee breaches any other material terms herein.
The confidentiality clause shall survive termination.
This Agreement shall be governed by the laws of the Republic of Trinidad and Tobago.
Any disputes arising under this Agreement shall first be submitted to arbitration or mediation. The arbitrator or mediator shall be selected by the Licensor with the Licensee’s approval. The decision shall be final and binding.
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of future rights to enforce the same or other provisions.
This Agreement represents the entire understanding between the parties and may only be amended in writing, signed by both parties.
This Agreement is executed in duplicate. Each party shall retain one (1) signed copy. This Agreement comes into effect upon signature by both parties.
